General Terms and Conditions of akp Communications GmbH

1. Scope of Application
   These General Terms and Conditions (GTC) apply to all contracts, deliveries and other services of akp Communications GmbH (hereinafter referred to as "Provider") vis-à-vis its customers. Deviating terms and conditions of the customer are not recognized unless the provider expressly agrees to their validity in writing.

2. Conclusion of Contract
   A contract is concluded by written confirmation of the offer or by provision of the service by the provider. Offers made by the provider are subject to change and non-binding.

3. Services and Obligations of the Provider
   The provider provides communication and consulting services in accordance with the individual agreements with the customer. Changes to services require a written agreement.

4. Obligations of the Customer
   The customer undertakes to provide all information necessary for the fulfillment of the contract in good time and to make the agreed payments on time.

5. Prices and Terms of Payment
   The prices are based on the applicable price list or individual agreement. Payments are due within 14 days of invoicing without deduction. In the event of late payment, interest on arrears shall be charged at the statutory rate.

6. Liability and Warranty
   The provider is only liable for intent and gross negligence. In the event of slight negligence, the provider shall only be liable for breach of material contractual obligations.

7 Confidentiality and Data Protection
Both parties undertake to maintain confidentiality with regard to all information that becomes known to them in the course of performing the contract. Personal data shall be processed in accordance with the provider's privacy policy and the applicable data protection laws.

8. Term of Contract
   Contracts are concluded either for an indefinite period or for a fixed term.

9. Final provisions
   Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The law of the Federal Republic of Germany shall apply. The place of jurisdiction is the registered office of the provider - Weinheim.
